Philip N. Hablutzel
Philip N. Hablutzel is a Professor of Law at IIT Chicago-Kent College of Law, teaching courses in corporate law, securities regulation, banking law, international capital markets, and international commercial arbitration, and also serves as Director of the Institute of Illinois Business Law. He spent four years as a research attorney at the American Bar Foundation, where he authored several books, including the three-volume MODEL BUSINESS CORPORATION LAW ANNOTATED (West) and the MODEL RESIDENTIAL LANDLORD-TENANT CODE. From 1985 – 2005, he served as a member of the Illinois Secretary of State’s Corporate Laws Advisory Committee, serving as reporter for the complete revision of the Illinois General Not For Profit Corporation Act of 1986. He has been a Senior Fulbright Professor in Mainz, Germany; has taught courses in London and shorter courses in Buenos Aires, Augsburg, Bangkok, Shenzhen, Shanghai, and Beijing; and has lectured in Kiev. He has served as Chair of the Illinois State Bar Association Section Council on Commercial, Banking, and Bankruptcy Law; Chair of the ISBA Section Council on Corporation, Securities, and Business Law; Chair of the Chicago Bar Association Corporation Law Committee; and Chair of the American Bar Association Committee on the Adoption of the Uniform Trade Secrets Act. Since 2004, he has been a public member of the Business Conduct Committee of the Chicago Board Options Exchange. Professor Hablutzel received his Master’s and law degrees from the University of Chicago.

He has spoken on federal taxation and healthcare law for organizations including IICLE^®, the Practising Law Institute, the American Bar Association, and the Southern Federal Tax Institute. He has written articles for PLI, the Journal of Taxation, the ABA, and the Bureau of National Affairs and has served as an editorial consultant to Medical Economics, Professional Corporation & Pension Update, and Pension Planning Review. He has been an innovator in numerous medical practice areas, including mergers, acquisitions, sales of businesses, development of high-tech medical ventures such as MRI facilities, surgery centers, specialty centers, lithotripsy ventures, and preparation of specialized agreements for medical providers such as in-hospital-based radiologists, anesthesiologists, pathologists, and emergency departments. Mr. Kamensky is also recognized as an innovator in structuring intricate legal transactions, including new forms of organizations to more easily allow for expansion of medical groups. He is a member of the ABA Advisory Panel, the Healthcare Fraud and Compliance Committee and the Transactional Business Healthcare Committee of the Health Law Section, and the Closely Held Businesses and Employee Benefits Committees of the Section of Taxation. He was Task Force Chair of the ABA Committee on Affiliated Service Groups and was also a former Subcommittee Chair of the ABA Committee on Professional Corporations. He has been named a Leading Lawyer and is a member of the Advisory Board of the Leading Lawyers Network. He has been selected as an Illinois Super Lawyer. He is listed in WHO’S WHO IN AMERICAN LAW and WHO’S WHO IN AMERICA. Mr. Kamensky received his B.S. from the University of Illinois and in the same year became a Certified Public Accountant. He received his J.D. from DePaul University College of Law.

Gregory A. Mescher is an attorney and sole Shareholder of Mescher Law Offices, P.C., in Washington, Illinois, where his practice is concentrated in the areas of business law, estate planning, taxation, and residential and commercial real estate. He was previously on the tax staff of a major public accounting firm and was an associate and then Partner with a Peoria law firm prior to relocating his practice to Washington.
